Summary

• Submitting is not a guarantee of a reply, a release or a deal.
• Everything you send is non-confidential. Send links to finished or demo recordings, never your only copy.
• You confirm you own or control what you send, and that nobody else's rights are in it.
• Milk & Honey hears thousands of songs. If we release something similar to yours, that is coincidence, not copying, and you agree not to claim otherwise.
• You must be 18 or older, or have a parent or guardian submit for you.

1. Who we are. "Milk & Honey", "we" and "us" means Milk & Honey Records, LLC and its affiliates, officers, employees, contractors, partners and labels released through it (together, the "Milk & Honey Parties").

2. What a submission is. A "Submission" is anything you send us through this form or in reply to it: recordings, compositions, lyrics, artwork, video, links, profiles, biographical material, ideas and plans.

3. No obligation, no guarantee. We are under no obligation to review, respond to, return, keep, release or pay for a Submission. A reply, a meeting or a request for more material is not an offer. No agreement exists between you and Milk & Honey unless and until both of us sign a written contract.

4. Non-confidential. Submissions are received on a non-confidential basis. We may share them internally and with our partners, distributors, sub-labels and advisors for evaluation. Do not send anything you need to keep secret.

5. Your warranties. You represent and warrant that: (a) you are at least 18, or a parent or legal guardian is submitting on your behalf and agrees to these terms; (b) you own or control all rights in the Submission, including every master, composition, sample, interpolation, vocal, likeness and name in it, or have written permission from the people who do; (c) the Submission does not infringe any copyright, trademark, publicity, privacy or other right of any person; (d) you are free to sign a recording or licensing agreement with us, with no exclusive obligation to another label, publisher, distributor or manager that would prevent it, or you have disclosed that obligation in the form; and (e) the information you give us, including follower and streaming figures, is accurate.

6. Similar works and independent development. Milk & Honey receives a large volume of music and ideas, and its artists, writers and producers work on material that may resemble yours in title, concept, lyric, melody, rhythm, sound, artwork or marketing. You acknowledge that any similarity between a Submission and anything later released, produced, marketed or published by any Milk & Honey Party is coincidental or the product of independent development, and you waive any claim that such similarity is evidence of copying or of any obligation owed to you. Nothing in this section grants us a licence to copy a Submission; it confirms only that we owe you nothing because of resemblance.

7. No compensation. You will not be paid for a Submission or for our review of it.

8. Release. To the fullest extent permitted by law, you release the Milk & Honey Parties from any claim, demand, loss or liability arising from the Submission or from our receipt, review, storage, loss or non-use of it, including claims of breach of implied contract, breach of confidence, unjust enrichment, idea misappropriation and copyright infringement based on similarity. You waive California Civil Code section 1542 and any similar law to the extent it would otherwise limit this release.

9. Indemnity. You will defend, indemnify and hold harmless the Milk & Honey Parties from any third-party claim, and any resulting loss, damage, cost and reasonable legal fees, arising from a breach of your warranties in section 5 or from the content of your Submission.

10. No agency or partnership. Submitting does not make you an artist, client, employee, agent or partner of Milk & Honey, and does not entitle you to use our name, logo or the names of our artists.

11. Your data. We use the contact details and links you provide to evaluate the Submission and to contact you about it. We may keep them on file for future consideration. We do not sell them. Our Privacy Policy applies.

12. Removal. Email records@milkhoneyla.com from the address you submitted with if you want a Submission deleted. We will delete what we can; copies already shared for evaluation may persist for a reasonable period.

13. Law and venue. These terms are governed by the laws of the State of California without regard to conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts in Los Angeles County, California, and you consent to their jurisdiction. If any part of these terms is unenforceable, the rest stays in force.

14. Changes. We may update these terms. The version on the page when you submit is the one that applies to that Submission.
